MIDWIFEPLUS
INDEPENDENT MIDWIFE CONTRACTOR AGREEMENT
This Agreement sets out the terms under which an independent midwife may use the MidwifePlus Platform to obtain client introductions.
1. Definitions
Contractor means the independent midwife entering into this Agreement.
Client means a person seeking maternity, antenatal, or postnatal services.
Platform means the MidwifePlus website, digital systems, and related services operated by MidwifePlus Ltd.
Tokens mean digital credits purchased by Contractors that allow access to Client contact details and introductions via the Platform.
Services means maternity, antenatal, postnatal, or neonatal services provided directly by the Contractor to Clients.
2. Nature of Relationship
2.1 The Contractor operates as an independent professional and independent business.
2.2 Nothing in this Agreement creates or is intended to create:
- an employment relationship
- worker status
- a partnership
- a joint venture
- an agency relationship
between the Contractor and MidwifePlus Ltd.
2.3 The Contractor is free to determine how, when, and where they provide Services to Clients.
2.4 There is no obligation on MidwifePlus to provide work, and no obligation on the Contractor to accept any work.
2.5 The Contractor may provide services to other clients, organisations, or competing platforms.
2.6 The Contractor is responsible for providing their own equipment, materials, and professional resources required to perform Services.
3. Platform Role
3.1 MidwifePlus provides marketing, visibility, and client introduction services through the Platform.
3.2 MidwifePlus does not provide healthcare services and does not supervise or direct clinical practice.
3.3 Any agreement for Services is formed directly between the Contractor and the Client.
3.4 MidwifePlus is not a party to any contract for clinical services.
4. Pricing and Fees
4.1 Contractors set their own fees independently.
4.2 MidwifePlus does not set, control, or influence Contractor pricing.
4.3 Contractors are responsible for:
- invoicing Clients
- collecting payments
- issuing refunds where applicable
- managing payment disputes
4.4 Nothing in this Agreement constitutes price fixing or fee control.
5. Token Access Model
5.1 Contractors may purchase Tokens to access Client contact details or introductions on the Platform.
5.2 Tokens represent payment for marketing exposure and client introduction services only.
5.3 Tokens do not guarantee work, bookings, or income.
5.4 Tokens are consumed when Contractor access to Client contact information is provided.
5.5 Tokens are non-refundable once used, except where required by law.
5.6 MidwifePlus may amend Token pricing from time to time.
6. Professional and Regulatory Compliance
6.1 The Contractor must maintain valid registration with the Nursing and Midwifery Council at all times.
6.2 The Contractor must comply with all applicable professional standards, codes of practice, and regulatory requirements.
6.3 The Contractor is responsible for determining whether registration or licensing is required with the Care Quality Commission or any other regulator.
6.4 The Contractor must immediately notify MidwifePlus if:
- their professional registration is suspended or revoked
- regulatory investigations occur
- any restriction is placed on their professional practice
7. Insurance
7.1 The Contractor must maintain adequate insurance including:
- professional indemnity insurance
- public liability insurance
7.2 Insurance must provide appropriate cover for clinical services provided to Clients.
7.3 MidwifePlus may request proof of insurance at any time.
8. Safeguarding and Professional Conduct
8.1 The Contractor must comply with all applicable safeguarding obligations relating to mothers, babies, and families.
8.2 Contractors must conduct themselves professionally and ethically in accordance with professional standards set by the Nursing and Midwifery Council.
8.3 MidwifePlus may suspend or remove Contractors from the Platform where safeguarding concerns arise.
9. Substitution
9.1 Where permitted by professional regulations and client agreement, the Contractor may appoint a suitably qualified substitute midwife.
9.2 Any substitute must:
- hold valid professional registration
- maintain appropriate insurance
- meet all regulatory requirements
9.3 The Contractor remains responsible for the acts or omissions of any substitute.
10. Taxation
10.1 The Contractor is responsible for all tax obligations including:
- income tax
- National Insurance contributions
- VAT where applicable
10.2 MidwifePlus makes no tax deductions and provides no employment-related benefits.
11. Data Protection and Confidentiality
11.1 Contractors must comply with:
- UK GDPR
- Data Protection Act 2018
11.2 Contractors act as independent data controllers for clinical records they create.
11.3 Contractors must maintain the confidentiality of all Client information.
12. Indemnity
The Contractor agrees to indemnify and hold harmless MidwifePlus Ltd against any claims, losses, damages, liabilities, or legal costs arising from:
- clinical services provided by the Contractor
- breach of professional duties
- regulatory non-compliance
- negligence or misconduct by the Contractor
13. Limitation of Liability
13.1 MidwifePlus is not liable for:
- clinical decisions made by Contractors
- treatment outcomes
- disputes between Clients and Contractors
- loss of income or business opportunities
13.2 Nothing in this Agreement excludes or limits liability for:
- death or personal injury caused by negligence
- fraud or fraudulent misrepresentation
- any liability that cannot legally be excluded under English law
14. Suspension and Termination
14.1 Either party may terminate this Agreement by providing 14 days written notice.
14.2 MidwifePlus may immediately suspend or terminate the Agreement if the Contractor:
- loses required professional registration
- fails to maintain required insurance
- breaches regulatory or safeguarding obligations
- engages in serious misconduct
- breaches this Agreement
15. Governing Law
This Agreement is governed by the laws of England and Wales.
Any disputes arising under this Agreement shall be subject to the jurisdiction of the courts of England and Wales.
