MIDWIFEPLUS
MARKETPLACE STATUS AND LEGAL POSITIONING ADDENDUM
This Addendum clarifies the legal and operational role of MidwifePlus Ltd in relation to the Platform and the services made available through it.
1. Platform Status
MidwifePlus Ltd operates a digital technology marketplace platform that enables Clients to identify and contact independent midwives.
The Platform provides marketing visibility and introduction services only.
MidwifePlus does not provide maternity, antenatal, postnatal, neonatal, or other healthcare services.
All healthcare services are provided independently and directly by Contractors.
2. Technology Platform Function
MidwifePlus operates solely as a technology and marketing platform.
The Company:
- does not provide medical advice
- does not provide clinical care or treatment
- does not diagnose medical conditions
- does not operate a medical clinic or healthcare practice
- does not employ midwives to provide healthcare services
Healthcare services arranged following an introduction through the Platform are delivered independently by Contractors.
3. No Agency or Employment Relationship
Contractors are independent professionals and are not employees, workers, partners, or agents of MidwifePlus.
Contractors have no authority to:
- bind the Company contractually
- represent themselves as employees or agents of MidwifePlus
- enter agreements on behalf of MidwifePlus
Any agreement for healthcare services is formed solely between the Contractor and the Client.
4. No Clinical Direction or Control
MidwifePlus does not supervise, manage, or control the clinical activities of Contractors.
Contractors retain full professional autonomy and responsibility for:
- clinical judgement
- treatment decisions
- service delivery
- regulatory compliance
- safeguarding responsibilities
Professional regulation of midwives is conducted by the Nursing and Midwifery Council.
5. Independent Pricing
Contractors independently determine their own fees and pricing structures.
MidwifePlus does not:
- set pricing
- impose fee structures
- negotiate fees with Clients
- receive commission based on clinical services provided
6. Financial Separation
Payments for healthcare services are made directly between Clients and Contractors.
MidwifePlus does not:
- collect payments for healthcare services
- process payments for clinical services
- hold client funds
- distribute earnings to Contractors
The Company’s revenue is limited to charges associated with platform access and marketing services.
7. Regulatory Responsibility
Contractors are responsible for ensuring they meet all applicable regulatory obligations, including maintaining valid registration with the Nursing and Midwifery Council.
Contractors are also responsible for determining whether registration is required with the Care Quality Commission or any other applicable authority.
8. Liability Clarification
To the fullest extent permitted by law, MidwifePlus Ltd shall not be liable for:
- healthcare services delivered by Contractors
- clinical advice or treatment provided by Contractors
- treatment outcomes or complications
- disputes between Clients and Contractors
Contractors remain fully responsible for the services they provide.
Nothing in this Addendum excludes or limits liability where such exclusion is prohibited by the laws of England and Wales.
